ARTICLE V - DIRECTORS

1. Subject to the bylaws and resolution at general meetings, the Board of Directors have control and management of the affairs of the Society.

2. The Board of Directors consists of 9 to 11 members. They may be the President, the Vice-President, the Secretary, the Treasurer and other directors;

3. The President, the Vice-President, the Secretary, the Treasurer constitute the Executive Committee;

4. At the first meeting of the Board of Directors, the Board of Directors shall elect among themselves, the Exec. Committee and other directors as appropriate. They may hold the following positions:

(a) Membership director
(b) Public relations director
(c) Fund-raising director
(d) Volunteer director
(e) Director at large
(f) Director under any other name as designated by the President

5. From time to time, the President may appoint any other honorary positions from the public who may sit in meetings of the Board of Directors by invitation of the President.

6. Directors only may vote at meetings of the Board of Directors. Each director may cast one vote on one resolution. In the event of a tie, the President may have a casting vote.

7. The President shall preside at all meetings of the Society and shall be the Chief Executive Officer of the Society. In the absence of the President, the Vice-President shall preside. If both positions are vacant, a special general meeting shall be called. The President shall be an Ex-officio Member of all Subcommittee. The President shall not hold the Presidency for more than 2 consecutive terms of 2 years.

8. Vice-President - The Vice-President shall oversee the programs of the Society.

9. Secretary - the Secretary shall prepare and maintain the minutes of meetings to the Board of Directors and of the general, special, or other meetings of the Society. He/she will be the custodian of the seal of the Society which, when, used, shall be authenticated by the signature of the President or the Treasurer.

10. Treasurer - the Treasurer shall maintain accurate financial records of the Society. He/she shall present a full and detailed financial report of the Society to the Board whenever requested and shall submit an audited financial statement to the Annual General Meeting with a copy to the Secretary for the records.

11. Each term of office for each director is 2 years.

12. In the event of a vacancy, the Board of Directors may appoint a member of the Society to fill the vacancy for the remaining term.
